Partner Terms & Conditions

These Partner Terms & Conditions ("Terms") govern your participation in the Onecount Sections Partner/Affiliate Program ("Program") operated by Onecount ("we", "us", "our"). By enrolling in or participating in the Program, you agree to be bound by these Terms in their entirety.
1. Program Overview
The Onecount Sections Partner/Affiliate Program allows approved participants ("Partners") to earn commissions by referring Shopify merchants to the Onecount Sections application. Partners receive a unique referral code and tracking link. When a referred merchant subscribes to a plan or makes a purchase, the referring Partner earns a commission as described in these Terms.
2. Eligibility & Enrollment
- You must be at least 18 years of age to participate in the Program
- You must provide accurate and complete information during enrollment, including your legal name, email address, and payout details
- Only one partner account is permitted per individual or entity
- Enrollment in the Program is at our sole discretion. We may accept or reject any application without providing a reason
- By enrolling, you represent that you have the legal capacity to enter into a binding agreement
3. Referral Links & Attribution
- Each Partner receives a unique referral code and link. Referral attribution is tracked via a 30-day cookie window from the time a prospective merchant clicks your referral link
- If the cookie expires before the merchant completes a qualifying action, no commission is earned
- Cookie stuffing, iframe injection, or any technique that artificially sets referral cookies without genuine user intent is strictly prohibited
- You must not use misleading advertisements, false claims, or deceptive landing pages to drive referral traffic
- Attribution is determined solely by our tracking systems. We are the final arbiter of all attribution disputes
4. Commission Structure & Payment
- Monthly subscriptions: 15% commission on each recurring monthly payment
- Annual subscriptions: 10% commission, divided into 12 monthly parts and paid out over the subscription year
- One-time purchases: 10% commission per qualifying purchase
Commission rates are subject to change at any time with 30 days' notice to active Partners. Payouts are processed via PayPal or bank transfer on a monthly basis. You are responsible for providing accurate payout information and for any taxes owed on commissions received.
5. Holdback Period & Minimum Threshold
- All commissions are subject to a 30-day holdback period before becoming payable. This holdback accounts for refunds, chargebacks, and subscription cancellations
- Partners must have a minimum of 2 paid store referrals before their first payout is processed. Until this threshold is met, all earned commissions are held
- If a referred merchant cancels or receives a refund within the holdback period, the associated commission is forfeited
6. Prohibited Conduct
The following activities are strictly prohibited and may result in immediate termination, forfeiture of all pending commissions, and permanent ban from the Program:
- Self-referrals: Referring your own Shopify store(s) or stores owned by your immediate family, business partners, or entities you control
- Spam: Sending unsolicited bulk emails, messages, or communications to promote your referral link
- Misrepresentation: Falsely representing your relationship with Onecount, making guarantees about our product, or impersonating Onecount staff
- Trademark abuse: Using "Onecount", "Onecount Sections", or any variation in domain names, social media handles, or paid advertisements without written permission
- Incentivized clicks: Offering monetary incentives, rewards, or prizes in exchange for clicking your referral link or signing up through it
- PPC bidding on brand terms: Bidding on "Onecount", "Onecount Sections", or similar branded keywords in paid search campaigns (Google Ads, Bing Ads, etc.)
- Fraudulent activity: Any form of click fraud, conversion manipulation, or artificial inflation of referral metrics
7. Termination
Onecount reserves the unconditional right to terminate any partner account, cancel any pending or approved payout, suspend or revoke any commissions, or remove any partner from the Program at any time, for any reason or no reason, without prior notice, explanation, or liability. All decisions regarding termination and payout cancellation are final and non-appealable.
Upon termination, you must immediately cease all use of your referral link, remove any Onecount branding from your properties, and discontinue representing yourself as an Onecount Partner. Commissions earned and already paid out prior to termination are not subject to clawback unless obtained through fraud or violation of these Terms.
8. Modification of Terms
We reserve the right to modify these Terms at any time. Changes will be communicated via email to the address on file for your partner account. Your continued participation in the Program after any modifications constitutes your acceptance of the updated Terms. If you do not agree with the changes, you may withdraw from the Program by contacting us.
9. Limitation of Liability
To the maximum extent permitted by applicable law, Onecount shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your participation in the Program, including but not limited to lost profits, lost commissions, business interruption, or loss of data.
Our total aggregate liability to you for any and all claims arising under or in connection with the Program shall not exceed the total commissions actually paid to you in the 12 months immediately preceding the date of the claim.
The Program is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
10. Governing Law
These Terms are governed by and construed in accordance with applicable law. Any dispute arising out of or in connection with these Terms or the Program shall first be attempted to be resolved through good faith negotiation between the parties. If the dispute cannot be resolved through negotiation within 30 days, either party may pursue resolution through appropriate legal channels.
