Terms of Service

These Terms of Service ("Terms") govern your use of the Onecount Sections application ("Service") provided by Onecount ("we", "us", "our"). By installing or using our app, you agree to these Terms.

1. Service Description

Onecount Sections is a Shopify application that provides pre-built, professionally designed Liquid sections for Shopify online stores. Sections are installed directly into your active theme via Shopify's Theme API.

2. Account and Access

3. Pricing and Billing

Onecount Sections offers both free and paid sections. All paid transactions are processed through Shopify's billing system. Subscription fees are billed through your Shopify account according to the plan you select.

  • Free sections: Available at no cost to all merchants
  • Paid sections: One-time purchase per section
  • Pro subscription: Monthly or annual subscription for full access

Refunds are handled on a case-by-case basis. Contact us within 14 days of purchase if you're unsatisfied with a paid section.

4. License and Usage

Important: You are purchasing a license, not ownership.

Purchasing or subscribing to a section grants you a limited, revocable license to use that section exclusively on the specific Shopify store from which the purchase was made. You do not own the section code, design, or any associated assets. This license is non-transferable and may not be applied to any other store, website, or platform.

Upon installation, you receive a non-exclusive, non-transferable, revocable license to use the sections on the specific Shopify store from which the purchase or subscription was initiated. You may:

  • checkInstall sections on the Shopify store associated with your purchase or subscription
  • checkCustomize installed sections to match your store's branding
  • checkUse sections for the duration of your active license (one-time purchase or active subscription)

You may NOT:

  • closeUse sections on any Shopify store other than the one from which the purchase was made
  • closeRedistribute, resell, sublicense, or share section code with any third party
  • closeTransfer your license to another store, person, or entity
  • closeCopy, extract, or replicate section code for use outside of the licensed store
  • closeRemove or modify copyright notices, attributions, or license identifiers
  • closeReverse engineer our CDN delivery, authentication, or license validation systems
  • closeClaim ownership of any section design, code, or associated assets

5. Intellectual Property

All section designs, Liquid code, CSS, JavaScript, preview images, and all associated assets are and remain the exclusive intellectual property of Onecount (operated by Onesita). Your purchase or subscription grants a limited usage license only — it does not transfer ownership of the underlying code, design, or any intellectual property rights whatsoever.

Onecount reserves all rights not expressly granted in these Terms. Any unauthorised use, reproduction, or distribution of our sections constitutes a violation of intellectual property law and these Terms, and may result in immediate license termination and legal action.

6. Service Availability

We strive to maintain 99.9% uptime for our CDN and installation services. However, we do not guarantee uninterrupted access. Scheduled maintenance will be communicated in advance when possible. Sections already installed on your theme will continue to function independently of our service availability.

7. Limitation of Liability

To the maximum extent permitted by law, Onecount shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service. Our total liability shall not exceed the amount paid by you in the 12 months preceding the claim.

8. Theme Modifications

By using our Service, you authorize us to add and remove Liquid section files in your Shopify theme. We take care to only modify files directly related to our sections. However, we recommend maintaining theme backups before installing new sections.

9. Termination and Enforcement

You may uninstall Onecount Sections at any time through your Shopify admin panel. Upon uninstallation, your access to the Service ends, but sections already installed in your theme will remain functional.

License Termination and Legal Action

We reserve the right to immediately terminate your license without prior notice if we detect any misuse, unauthorised redistribution, code extraction, use on unlicensed stores, or any other violation of these Terms. Upon termination, you must immediately cease using all Onecount sections and remove them from your store.

In cases of wilful infringement, redistribution, or commercial misuse, Onecount reserves the right to pursue legal proceedings to recover damages, enforce intellectual property rights, and seek injunctive relief. You agree to bear all costs and legal fees associated with such enforcement actions. No refunds will be issued for terminated licenses.

10. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated through the app or via email. Continued use of the Service after changes constitutes acceptance of the updated Terms.

11. Governing Law

These Terms are governed by applicable law. Any disputes shall be resolved through good faith negotiation first, then through appropriate legal channels.
